These Terms of Service (“Terms”) form a binding agreement between you and BUILDERSOFT L.L.C. (“Buildersoft”, “we”, “us”), registered at Rruga Tirana, C4 nr 23, 10000 Prishtine, Kosovo. By accessing this website or engaging Buildersoft for any service, you agree to these Terms.
1. Services
Buildersoft provides digital transformation, software engineering, platform, data, and AI consulting services, as well as access to its open-source frameworks and products (including Cortex, Dataroot and Sophon). The specific scope, deliverables, timeline, and fees for any engagement are defined in a separate Statement of Work (SOW) or written agreement signed by both parties. These Terms govern your use of this website and any preliminary communication; an executed SOW prevails in case of conflict.
2. Eligibility and Account Use
You must be at least 18 years old and have the legal authority to enter into this agreement on behalf of yourself or the organization you represent. You are responsible for the accuracy of information you submit through our contact form and for maintaining the confidentiality of any credentials issued to you in the course of an engagement.
3. Acceptable Use
You agree not to:
- Use the website or our services for any unlawful, fraudulent, or harmful purpose.
- Attempt to gain unauthorized access to our systems, interfere with their operation, or circumvent security measures.
- Reverse-engineer, resell, or sublicense proprietary software or deliverables, except as expressly permitted by the applicable open-source license or a written agreement.
- Submit content that infringes intellectual property, violates privacy, or is defamatory.
4. Intellectual Property
All content on this website — including text, graphics, logos, and code samples — is owned by Buildersoft or its licensors and is protected by applicable intellectual-property laws. Our open-source projects are governed by the license shipped with each repository (currently the Apache 2.0 license for Cortex). Ownership and license terms for custom deliverables produced under an engagement are defined in the relevant SOW.
5. Confidentiality
Both parties may exchange non-public information in the course of evaluating or executing an engagement. Each party agrees to protect such information using the same standard of care it applies to its own confidential information and to use it only for the purposes of the engagement. Confidentiality obligations survive termination for the period specified in the applicable SOW, and otherwise for three (3) years.
6. Fees and Payment
Fees for consulting services are specified in the applicable SOW. Unless otherwise agreed, invoices are payable within thirty (30) days of receipt. Late payments may incur interest at the maximum rate permitted by applicable law.
7. Warranties and Disclaimers
This website and any open-source software provided by Buildersoft are made available on an “as-is” and “as-available” basis, without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. Warranties that apply to paid consulting engagements are defined in the applicable SOW.
8. Limitation of Liability
To the maximum extent permitted by law, Buildersoft will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to your use of the website or our free resources. Our total aggregate liability for any paid engagement is limited to the amount actually paid by you to Buildersoft under the relevant SOW during the twelve (12) months preceding the event giving rise to the claim.
9. Third-Party Services
Our website integrates Google reCAPTCHA to help prevent automated abuse of the contact form. Use of reCAPTCHA is subject to Google’s Privacy Policy and Terms of Service. Links to third-party websites are provided for convenience; we are not responsible for their content or practices.
10. Changes to These Terms
We may update these Terms from time to time. The “Last updated” date above indicates when changes were most recently made. Continued use of the website after changes are published constitutes your acceptance of the revised Terms.
11. Governing Law
These Terms are governed by the laws of the Republic of Kosovo, without regard to its conflict-of-laws provisions. Any disputes arising under these Terms are subject to the exclusive jurisdiction of the competent courts of Prishtine, Kosovo, unless the parties have otherwise agreed in writing.
